Terms of Service

1. Eligibility

To use EZStore, you must:

• Be at least 18 years of age.
• Be a legally registered business or individual operating lawfully in India (or any jurisdiction where EZStore is available).
• Have the legal authority to enter into these Terms on behalf of yourself or your business.
• Not be barred from using the service under applicable law.

2. Account Registration

• You must provide accurate, complete and current information when registering.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity that occurs under your account.
• Notify us immediately at support@fixedlayer.com if you suspect unauthorised access.
• You may not create more than one account per business entity without our written permission.
• We reserve the right to refuse registration or suspend accounts at our discretion.

3. Acceptable Use

You agree not to use EZStore to:

• Sell illegal, counterfeit, hazardous or prohibited goods.
• Engage in fraud, money laundering or any other criminal activity.
• Violate any applicable Indian law, including the IT Act 2000, Consumer Protection Act 2019, or GST regulations.
• Infringe any third party's intellectual property, privacy or other rights.
• Transmit malware, spam or any harmful code.
• Attempt to gain unauthorised access to our systems or other users' accounts.
• Reverse-engineer, decompile or attempt to extract the source code of EZStore.
• Use automated bots or scrapers to access the platform without our written consent.
• Resell or sublicense access to the platform without our written consent.

Violation of this section may result in immediate account suspension and legal action.

4. Merchant Stores & Products

• You are solely responsible for the products and services you list, sell, and deliver through your EZStore store.
• You must comply with all applicable consumer protection, product safety, and labelling laws.
• You must have all necessary licences, permits, and tax registrations (including GST) required to sell your products.
• Product descriptions, images and prices must be accurate and not misleading.
• You are responsible for handling customer complaints, returns, and refunds in accordance with your stated policies and applicable law.
• EZStore is a technology platform — we are not a party to transactions between you and your customers.

5. Payments & Fees

Platform fees

• Fees are as described on our Pricing page and may change with 30 days' notice.
• All fees are exclusive of applicable taxes (GST).
• Failure to pay fees may result in service suspension.

Payment processing

• Payments from your customers are processed by Razorpay. Their terms and privacy policy apply to payment processing.
• Payouts to your bank account are subject to Razorpay's payout schedule and verification requirements.
• We are not responsible for delays caused by banks, payment gateways or government regulations.

Refunds

• Platform subscription fees are non-refundable except where required by law.
• Transaction fees charged by Razorpay are subject to their refund policy.

6. Intellectual Property

Our IP

EZStore, its logo, design, code, features and content are owned by FixedLayer Labs Private Limited and protected by copyright, trademark and other intellectual property laws. You may not use our brand assets without written permission.

Your IP

You retain ownership of your store content, product images and data. By using EZStore, you grant us a limited, non-exclusive licence to host, display and process your content solely to provide the service.

Feedback

Any feedback or suggestions you provide may be used by us without compensation or obligation to you.

7. Third-Party Services

EZStore integrates with third-party services (Razorpay, Shiprocket, WhatsApp, Google, etc.). Your use of these integrations is subject to their respective terms. We are not responsible for the availability, accuracy or actions of third-party services.

8. Disclaimers

EZStore is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the platform will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy or completeness of any content on the platform.

9. Limitation of Liability

To the maximum extent permitted by applicable law, FixedLayer Labs Private Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising from your use of EZStore.

Our total liability to you for any claim arising from these Terms or use of EZStore shall not exceed the fees you paid to us in the three months preceding the claim.

10. Indemnification

You agree to indemnify, defend and hold harmless FixedLayer Labs Private Limited, its officers, directors, employees and agents from any claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising from:

• Your use of EZStore in violation of these Terms.
• Your products, services or store content.
• Any dispute between you and your customers.
• Your violation of any applicable law or third-party rights.

11. Termination

By you

You may close your account at any time by contacting support@fixedlayer.com. Closing your account does not entitle you to a refund of any prepaid fees.

By us

We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or if required by law. We will provide notice where reasonably practicable.

Effect of termination

Upon termination, your right to access EZStore ceases. Data will be retained as described in our Privacy Policy. Sections 6, 9, 10, and 12 survive termination.

12. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra, India.

Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation for at least 30 days. Contact us at legal@fixedlayer.com.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified via email and/or an in-platform notice at least 14 days before they take effect. Continued use of EZStore after that date constitutes acceptance of the revised Terms.
